TERMS AND CONDITIONS OF TRADE

Acceptance: The placing of an order with JDI Ltd. will be deemed acceptance of these Terms and Conditions, not withstanding anything that may be stated to the contrary in the Buyer’s inquiries or on the Buyer’s orders.

Representations: No agent or representative of JDI Ltd. is authorized to make any representations statements conditions or agreements not expressly confirmed by JDI Ltd. and JDI Ltd. is in no way bound by any such unauthorized statements.

Risk: Risk of any delay loss damage or deterioration of or to the goods shall be borne by the Buyer from the time of dispatch.

Pricing: All Price Lists and quoted prices exclude freight, insurance and GST. All prices are subject to change without notice.

Payment: Any Buyer not having made prior credit arrangements with JDI Ltd. shall pay for all goods and services at time of order. Arrangements for credit shall be at the sole discretion of JDI Ltd. and those customers requiring credit shall provide such information as may be required by JDI Ltd. All accounts are due and payable strictly upon set terms as deemed by JDI Ltd. If the Buyer defaults in any payments or if the Buyer commits any act of bankruptcy or if a Buyer does any act which would render it liable to be wound up or a receiver appointed JDI Ltd. may terminate this agreement without prejudice to any other rights and payments for all goods delivered shall immediately become due and payable. JDI may at its sole and absolute discretion charge interest at the rate of 2 per centum per month on all payments due by a customer which are in arrears, and further, any charges incurred in the collection of overdue monies shall be charged to the buyer’s account and become immediately payable. Any payments made by the Buyer shall be applied first to the reduction of all debt collection costs.

Property: Ownership of goods sold by JDI Ltd. is retained by JDI Ltd. until payment in full is made both for those goods and for all other goods and services supplied by JDI Ltd. to the Buyer. If any such goods are sold by the Buyer prior to payment or have or shall become constituents of any other goods then the proceeds of sale thereof or such other goods shall be the property of JDI Ltd. and held on trust for JDI Ltd. and shall be kept separate and identified as such and delivered to JDI Ltd. on demand.

Warranty: Where the goods are subject to an express warranty given by the manufacturer or supplier to JDI Ltd. upon which JDI Ltd. can rely, then the terms of such express warranty shall be deemed to be incorporated herein, however the judgment of the supplier to JDI Ltd. shall be final and binding upon JDI Ltd. and the Buyer.

Returns and Disputes: Requests to return goods and disputes will only be considered valid if brought to the attention of JDI Ltd. within 7 days of supply. Returns must be authorized by JDI Ltd. At its discretion JDI Ltd. may invoke a handling/restocking charge and/or fix the value of goods not returned in original condition.

Liability: JDI Ltd. shall not be liable to the customer or any other person for any claims for incidental, indirect, or consequential damages whether in contract or in tort, including but not restricted to loss of profit, plant, equipment or production.

Consumer Guarantee’s Act (CGA): The Buyer acknowledges that all goods purchased from JDI Ltd. are for the purpose of re-supply in trade. If any of the goods are purchased by the Buyer for the Buyer’s own use, the Buyer acknowledges that such products are purchased for the purpose of a business, and the provisions of the CGA are expressly contracted out to the extent permitted by the CGA.

DIRECTORS GUARANTEE

I/We, the undersigned in consideration of you having agreed to supply the Company named below (hereinafter called the company”) with goods and services hereby guarantee to JDI Limited (hereinafter called “the supplier”) payment of all monies for all goods and services which have been supplied at the request of the Company from time to time.

Where credit is given to re-sale organisations, branch offices or other entities associated with the Company at the companies request or there is a change in proprietors or the trading name or the composition of the partnership controlling the company then unless notification in writing is given to the Supplier, this guarantee will and shall continue to apply to any such giving of credit by the Supplier.

I/We and each of the persons, who execute this Guarantee, shall be jointly and severally liable to the Supplier in the manner and to the extent provided in this guarantee.

I/We named hereunder as guarantors jointly and severally guarantee to the Supplier full and punctual payment of all sums payable by the Company, and such a guarantee shall be enforceable without first taking any steps or proceedings against the Company or any one or more of the guarantors.

This agreement may be cancelled by either party with thirty (30) days written notice to the other party but without prejudice to any and all rights and liabilities that may exist as at the date of the expiry of that period.

Until the supplier has received payment in full in respect of the monies hereby guaranteed we hereby agree not to enforce any security held by me/us over the Company but to hold in trust for the Supplier any debt and any rights of proof or other rights or benefits of any such security.

Our liability shall not be affected by any change in the membership of the Company or any change in the Directors of the Company or the liquidation of the Company or the assent by the Supplier to any composition, arrangement or scheme in respect of the Company or the acceptance by you of any divided or sum of money there under.

I/We have read, and agree to comply with, the Terms & Conditions of Trade. Guarantee between the parties below and JDI Ltd.

Terms and Condition of Website Use

JDI Limited website can only be accessed once the following Terms and Conditions have been agreed to.  If you do not agree to these, do not use the website.

JDI Limited reserve the right to update or correct the terms and conditions and information contained in this Site at any time, without notice.

You agree to keep your login and password confidential at all times.

You may access the website for the purpose of ordering products or services for delivery in New Zealand only.

JDI Limited has the sole right to refuse or withdraw authorisation to the Website at any time.

The information provided in this Site is presented in good faith and believed to be correct as of the date it was submitted.  We are not liable for any errors and omission on this site.

This site is to be used for lawful purposes only.

You must notify JDI within 7 days of any price discrepancy between the price on this site and the price on your invoice.  No notification within 7 days will mean acceptance of the invoice price.

Any unauthorised use of the materials appearing on this Site may violate copyright, trademark and other application laws and could result in criminal or civil penalties.

The purchase of goods or services from this site is subject to the JDI Limited Terms of Trade.  By purchasing from this website you agree with these terms as well.
